GENERAL DISCLAIMERS
Confidentiality & Public Use:
Unless agreed upon in writing, I reserve the right to showcase or share the commissioned work for portfolio or promotional purposes. If your project requires discretion or a Non-Disclosure Agreement (NDA), you must communicate this before the commission begins. Additional fees may apply for confidential or embargoed work.
Right to Refuse or Cancel
I reserve the right to refuse or cancel a commission at any time for any reason, including but not limited to inappropriate behavior, unrealistic expectations, or non-compliance with these Terms of Service.
Commission terms, including scope and scheduling, may be modified as needed to ensure professional delivery, subject to mutual agreement.
Client Conduct & Blacklisting
Any form of harassment, discrimination, intimidation, or abusive language toward me or associated team members will result in immediate cancellation of the commission. In such cases, a refund may be issued based on the amount of work completed up to that point.
Clients are expected to engage with the commissioning process in good faith and to respect boundaries around time, revisions, and communication. I reserve the right to blacklist clients who violate these expectations from future work.

By proceeding with a commission, you acknowledge and accept all disclaimers and conditions stated within these terms.
PAYMENT & LICENSING FEES
Currency & Taxes:
All prices are listed and must be paid in United States Dollars (USD) unless otherwise specified in writing. Clients are responsible for any additional transaction fees, currency conversion costs, or applicable taxes imposed by their financial institutions or local laws.
Licensing Clarification
All commissioned tracks are provided for personal use unless otherwise specified and licensed. If you intend to use the music for commercial purposes—including but not limited to monetized content, advertising, streaming, sync placements, or distribution—you must purchase an appropriate commercial license. Licensing terms and pricing will vary depending on the usage scope, distribution platform, and exclusivity requirements.
Commercial & Monetization Licensing Fees
If you plan to monetize the commissioned track through content creation (e.g., YouTube, Twitch, podcasts), public performance, or product integration, a commercial use fee will apply.
Standard Commercial License
+300% of the original base price. This includes monetized digital content, advertisements, promotional materials, and livestreams.
Accepted Payment Methods
I currently accept payments through PayPal, Stripe, VGen, and Ko-fi. Alternate arrangements are not available unless previously discussed and confirmed.
Payment Schedule
A non-refundable 50% deposit is required upfront before any creative work begins. This secures your place in the commission queue.The remaining 50% is due upon signing the Instrumental Track Use Agreement.Final project files will not be delivered until payment is received in full.In cases where a different payment plan is agreed upon in writing prior to the commission's start, that plan will supersede the standard schedule. These alternative arrangements may involve split payments, milestone-based installments, or delayed balances. All such agreements must be clearly documented and mutually acknowledged by both parties.
Supplemental Licensing & Production Fees
Additional charges may apply based on the scope, urgency, and direction of the project. These include, but are not limited to:RUSH DELIVERY SURCHARGE:
+70% of the base production fee for accelerated turnaround times.

FULL INSTRUMENTALS: 2 Days
EXCLUSIVES: 7 DaysPRIORITY REVISION FEE:
+100% for each additional revision requested beyond the allotted scope, especially for time-sensitive adjustments.
Additional Days: 2 DaysEXTENDED PRODUCTION FEE:
+300% for new non-exclusive and/or exclusive-use tracks that are either: requested within the same timeframe, and/or during an ongoing contract period.
If adding to a currently opened commission, the additional fees apply:
LOOPS: $30 per additional 10 seconds; $50 per 10 seconds after 1 minute mark
FULL INSTRUMENTALS: $40 per 30 seconds; $80 per 30 seconds after 3 minute mark
EXCLUSIVE: $90 per 2 minutes after 2 hour mark
Additional Days: 7 DaysCREATIVE DEVELOPMENT FEE:
+600% for projects with insufficient conceptual direction, vague creative vision, or conflicting genre requests requiring extensive exploratory work.
Additional: 7 DaysNote: These licensing and production-related fees are calculated in proportion to the additional labor, studio time, and creative overhead required. Applicability and final amounts are evaluated case-by-case.You will be informed of any additional costs in advance and will be given the opportunity to approve or decline any change in project scope or pricing.
CLIENT OBLIGATIONS
Professional Conduct
Maintain professional and respectful communication throughout the commissioning process. Harassment, threats, or manipulative behavior will not be tolerated and may result in termination of the project without refund.
Approach the project collaboratively and in good faith. Clear expectations, patience, and mutual respect are essential for a successful partnership.
Communication & Timeliness
Respond to communication and feedback requests within a reasonable timeframe (typically within 72 hours), unless otherwise discussed.
Please remain responsive throughout the commission. Unresponsiveness may cause project delays or pause the process entirely.
Project Clarity & References
Use clear, specific language when describing your commission. If using niche terminology or slang relevant to your concept, please provide definitions to ensure proper interpretation.
Submit at least one visual, audio, or written reference to support your request whenever possible. This will help ensure the final product aligns with your expectations.
Form Completion & Agreement
Carefully review and agree to all Terms of Service and complete the Commission Form thoroughly before submission. Failure to do so may lead to delays or miscommunication.
Understand that if important details or references are omitted during the submission process, it may impact the final outcome or limit the extent of revisions I am able to provide within the agreed scope of work.
PROCESS & WORK SCHEDULE
Inactivity Policy
If the client fails to respond to project-related communication for more than 30 consecutive days without notice, the commission may be considered abandoned. No refund will be issued, and the producer retains the right to repurpose or archive the work.
Queue & Scheduling
Upon confirmation of payment and receipt of your completed Commission Form, your project will be scheduled for production based on current queue volume and deadlines.
Drafts & Checkpoints
You will receive an initial Track Draft, ranging between 5 to 30 seconds depending on your commission type. This draft serves as a creative checkpoint for tone, instrumentation, and overall direction.
Up to 3 complete revisions are allowed during the Track Draft stage. These revisions should be clearly communicated and focused on structural, stylistic, or instrumental concerns.
WIP Communication
Work-in-progress (WIP) updates will be delivered through your preferred contact method (email, Discord, Ko-fi, or VGen), provided you verify communication preferences at submission.
Drafts may include a temporary melodic signature or watermark to prevent unauthorized use during development. This will be removed in the final delivery, unless otherwise agreed upon.
Deadlines & Delivery
All project deadlines must be clearly discussed and mutually agreed upon in the initial stages. If a specific delivery date is required, it must be recorded in the Commission Form and may be subject to a Rush Delivery Surcharge.
While I make every effort to complete your project within the agreed timeframe, please understand that unforeseen circumstances (personal, technical, or otherwise) may result in delays. You will be kept informed of any setbacks that may impact your delivery window.
REVISIONS
Overview
Revisions are a normal and expected part of the creative process. My goal is to ensure the final product aligns with your vision while maintaining reasonable boundaries around time and workload.
Track Draft Phase
You are entitled to 1 major revision and up to 7 minor revisions during this stage. These revisions should focus on the overall structure, genre direction, instrumentation, and/or tempo.For Exclusive/Commercial/Monetization Tracks, you are allowed 3 Major and 7 Minor revisions during the Track Draft Stage. These revisions should focus on the overall structure, genre direction, instrumentation, and/or tempo.
Melodic Signature Stage
(Producer Tag)
After the Track Draft is approved, 4 additional minor revisions may be made to refine the track's tone, balance, or dynamics before final delivery. The melodic signature will be removed at this stage unless otherwise requested.
Additional Revisions & Fees
Requests beyond the included limits or those causing significant workflow disruption may incur a Priority Revision Fee (+100%) or other applicable production fees.
Any revision necessary due to my oversight or technical error will be completed at no extra cost.
Note: I reserve the right to determine whether a revision request qualifies as minor or major, and whether it falls within or beyond the original scope of work.
COPYRIGHT & USAGE POLICY
Credit Attribution
All uses of the commissioned music—personal or commercial—must include visible credit in the form: "Music by: Eeelize" with a clickable or clearly referenced link to the producer’s preferred platform (e.g., website, portfolio, or social media).
Failure to provide appropriate credit may impact eligibility for future commissions or licensing extensions.
I retain all intellectual property rights and copyright ownership over the commissioned work unless explicitly transferred in a separately negotiated license agreement.
Producer Rights
I reserve the right to share, stream, and display the commissioned track (or portions thereof) for promotional purposes, including social media, portfolios, live sessions, and behind-the-scenes showcases.
I may include the commissioned work in demo reels, compilations, or other non-commercial collections unless exclusive rights have been purchased by the client.
Client Usage Rights (Personal Use License)
You may use the final track for non-commercial, personal use, such as background music for non-monetized videos, private projects, or portfolio showcases.
You may post the work on social media or portfolio sites with proper credit and direct links to my profile or platform of choice.
Prohibited Uses Without Proper Licensing
You may NOT:
Claim authorship of the work
Alter, remix, or repurpose the track beyond its intended form without prior permission
Use the track in any form of AI training, NFTs, crypto platforms, or blockchain-based projects
Distribute, sell, or monetize the work without securing the appropriate commercial license
Commercial Licensing
If you wish to use the commissioned music in monetized content (e.g., Twitch, YouTube, podcasts), public broadcasts, advertising, or product integrations, a commercial license must be purchased.
Commercial licensing is required for monetized usage (see Payment & Licensing Fees).
All commercial usage requires visible credit (e.g., "Music by: Eeelize" with a link beneath the name).
Commercial rights are non-transferable and do not include resale or sublicensing unless explicitly agreed upon in a separate contract.
CANCELLATION & REFUNDS
Limitation of Liability
I am not liable for any damages—direct or indirect—resulting from the use, misuse, or interpretation of the commissioned work, including technical issues, third-party claims, or loss of revenue related to its application.
Post-Delivery Revisions
Once a commission has been finalized and delivered, revision requests will not be accepted unless covered under a separate update or maintenance agreement.You may cancel your commission at any time prior to final delivery. If cancellation occurs after work has begun, a partial refund may be issued based on the amount of work completed. The non-refundable 50% deposit will be retained to cover time, labor, and administrative overhead.I reserve the right to cancel a commission at any time due to violations of these Terms of Service, inappropriate conduct, communication breakdown, or personal emergencies. In such cases, a refund will be issued proportionate to the work not completed.Once the final product has been approved and delivered, all sales are final. No refunds, returns, or exchanges will be offered post-delivery.Clients are not permitted to initiate chargebacks through payment processors after approval of the final product. Doing so constitutes a breach of contract and may result in blacklisting from future work, as well as the forfeiture of licensing rights to the commissioned track.In the event of cancellation, all rights to the partially or fully completed work revert to me, unless otherwise agreed upon in writing.
FINAL DELIVERABLES
Archival Policy
Project files and download links will remain available for 14 days after delivery. It is your responsibility to back up all deliverables. Retrieval requests after this window may incur a file recovery fee, and files may not be guaranteed available.
Upon completion of the project and full payment, you will receive the following materials in the agreed-upon format and delivery method:
Standard Deliverables
Finalized instrumental track(s) in WAV format (or another format upon request)
A finalized version of the approved Track Draft, if applicable
Optional early-stage draft previews (only for select commission types)
Optional Add-On ($40)
Multi-track stems: Individual instrument layers (e.g., drums, bass, synth, melody) provided in high-quality WAV files, suitable for mixing, mastering, or live performance adaptation
Delivery Format & Method
Files will be sent via a secure cloud storage link (Google Drive, Dropbox, or similar), or through your commission platform of choice (e.g., Ko-fi, VGen), as agreed upon.
Unless otherwise requested, WAV format is the default. MP3 or other compressed formats are available upon request.
GLOSSARY
Exclusive Use
Grants the client full and sole usage rights to the commissioned track. The track will not be reused, resold, or licensed to any other party by the producer.
Melodic Signature
A temporary, identifiable audio mark (e.g., a short melody or watermark) embedded in draft versions to protect the work during development. It is removed upon final delivery unless otherwise requested.
Track Draft
A short audio preview (typically 5–30 seconds) that represents the direction of the commissioned work. Used for client feedback and approval before full production proceeds.
Stems
Individual instrument audio files separated from the final mix (e.g., drums, bass, synths). Provided for remixing, mastering, or performance use.
Commission Window
The active time period during which the producer is accepting and working on client commissions. Requests outside of this period may be subject to rush or extended production fees.
Creative Development Fee
A fee applied when the client provides minimal or conflicting creative direction, requiring the producer to formulate the artistic concept independently.
Priority Revision Fee
A charge applied to revision requests beyond the agreed scope or requiring expedited turnaround (+100%).
Extended Production Fee
A charge incurred when new work is requested while a commission is still ongoing. Typically, +200% for non-exclusive and +400% for exclusive additions.
Rush Delivery Surcharge
An additional fee (+70%) for projects that require completion within a short timeframe.
Standard Commercial License
A license upgrade allowing use of the track in monetized content, advertisements, livestreams, or public-facing media. Priced at +300% of the base commission.
Work-in-Progress (WIP)
An in-development version of the track sent to the client for feedback, shared through their preferred communication platform.
GLOSSARY
Amendments
These Terms of Service are subject to change without prior notice. Any updates will not apply retroactively to commissions initiated before the revision date.
Jurisdiction
These terms are governed by the laws of California. In the event of a dispute, both parties agree to attempt resolution through mutual discussion before pursuing legal action.
