GENERAL
Unless agreed upon in writing, I reserve the right to showcase or share the commissioned work for portfolio or promotional purposes. I do not offer Non-Disclosure Agreement (NDA) at this time. Additional fees may apply for confidential or embargoed work.
I reserve the right to refuse or cancel a commission at any time for any reason, including but not limited to inappropriate behavior, unrealistic expectations, or non-compliance with these Terms of Service.Commission terms, including scope and scheduling, may be modified as needed to ensure professional delivery, subject to mutual agreement.
Any form of harassment, discrimination, intimidation, or abusive language toward me or associated team members will result in immediate cancellation of the commission. In such cases, a refund may be issued based on the amount of work completed up to that point.Clients are expected to engage with the commissioning process in good faith and to respect boundaries around time, revisions, and communication. I reserve the right to blacklist clients who violate these expectations from future work.
By proceeding with a commission, you acknowledge and accept all disclaimers and conditions stated within these terms.
All prices are listed and must be paid in United States Dollars (USD) unless otherwise specified in writing. Clients are responsible for any additional transaction fees, currency conversion costs, or applicable taxes imposed by their financial institutions or local laws.
Commissioned tracks come with a standard license for use in monetized content, such as ad-revenue-generating videos, livestreams, and other digital content.
Any use beyond this scope—including, but not limited to: commercial merchandising, physical distribution, or product sales—requires a separate and specific commercial license. Only Commercial License is available.
Exclusive-use instrumental commission prices depend on necessity, regardless of instrumental type and duration. Unless agreed upon by all parties involved, I will not upload the commissioned exclusive instrumental(s) to any platform, or share with anyone outside of the contract, unless given permission to do so.
You're required to pay upfront before any creative work begins. This secures your place in the commission queue.
Final project files will not be delivered until payment is received in full.
In cases where a different payment plan is agreed upon in writing prior to the commission's start, that plan will supersede the standard schedule. These alternative arrangements may involve split payments, or delayed balances. All such agreements must be clearly documented and mutually acknowledged by both parties.
+240% for exclusive-use tracks that are either: requested within the same timeframe, and/or during an ongoing contract period.
If adding to a currently opened commission, the additional fees apply:

CLIENT OBLIGATIONS
Maintain professional and respectful communication throughout the commissioning process. Harassment, threats, and/or manipulative behavior will not be tolerated and will result in termination of the project without refund. Anything made prior to the cancellation may still be used. Depending on the situation, payment, and agreement, what was made prior to cancellation will or will not be placed as free-use if proper credibility is not, or can be assumed to not be promised.Approach the project collaboratively and in good faith. Clear expectations, patience, and mutual respect are essential for a successful partnership.
Respond to communication and feedback requests within a reasonable timeframe (typically within 72 hours), unless otherwise discussed.Please remain responsive throughout the commission. Unresponsiveness may cause project delays or pause the process entirely.
Use clear, specific language when describing your commission. If using niche terminology or slang relevant to your concept, please provide definitions to ensure proper interpretation.Submit at least one visual, audio, or written reference to support your request whenever possible. This will help ensure the final product aligns with your expectations.
Carefully review and agree to all Terms of Service and complete the Commission Form thoroughly before submission. Failure to do so may lead to delays or miscommunication.Understand that if important details or references are omitted during the submission process, it may impact the final outcome or limit the extent of revisions I am able to provide within the agreed scope of work.
You will receive an initial Track Draft, ranging between 5 to 30 seconds depending on your commission type. This draft serves as a creative checkpoint for tone, instrumentation, and overall direction.
Up to 2 complete revisions are allowed during the Track Draft stage. These revisions should be clearly communicated and focused on structural, stylistic, and/or instrumental concerns.
Work-in-progress (WIP) updates will be delivered through your preferred contact method (Discord or VGen), provided you verify communication preferences at submission.
Drafts may include a temporary producer tag to prevent unauthorized use during development. This will be removed in the final delivery, unless otherwise agreed upon.
All project deadlines must be clearly discussed and mutually agreed upon in the initial stages. If a specific delivery date is required, it must be recorded in the Commission Form and may be subject to a Rush Delivery Surcharge.While I make every effort to complete your project within the agreed timeframe, please understand that unforeseen circumstances (personal, technical, or otherwise) may result in delays. You will be kept informed of any setbacks that may impact your delivery window.
Requests beyond the included limits or clients causing significant workflow disruption may incur a Priority Revision Fee (+100%) or other applicable production fees.
Any revision necessary due to my oversight or technical error will be completed at no extra cost.Note: I reserve the right to determine whether a revision request qualifies as such, and whether it falls within or beyond the original scope of work.
All uses of the commissioned music—personal or commercial—must include visible credit in the form:"Music by: Eeelize" with a clickable or clearly referenced link to the producer’s preferred platform (e.g., website, portfolio, or social media) beneath or embedded within the name.Failure to provide appropriate credit may impact eligibility for future commissions or licensing extensions. I retain all intellectual property rights and copyright ownership over the commissioned work.
I reserve the right to share, stream, and display the commissioned track (or portions thereof) for promotional purposes, including social media, portfolios, live sessions, and behind-the-scenes showcases.I may include the commissioned work in demo reels, compilations, or other non-commercial collections unless exclusive rights have been purchased by the client.
You may use the final track for commercial, monetized, and/or personal use, such as background music for monetized videos, private projects, or portfolio showcases.
You may post the work on social media with proper credit and direct links to my profile or platform of choice.
You may NOT:
Claim authorship of the work
Alter, remix, or repurpose the track beyond its intended form without prior permission.Use the track in any form of AI training, NFTs, crypto platforms, or blockchain-based projects
Distribute, sell, or monetize the work without securing the appropriate commercial license
If you wish to use the commissioned music in monetized content (e.g., Twitch, YouTube, podcasts, etc), public broadcasts, advertising, or product integrations, the proper license must be purchased.All monetization usage requires visible credit (e.g., "Music by: Eeelize" with provided link beneath or embedded within the name).Monetization rights are non-transferable and do not include resale or sub-licensing. The rights granted to the licensee (the person commissioning the music) cannot be sold, gifted, or otherwise transferred to another party. This arrangement allows the composer to license the same beat or instrumental track to multiple clients. This means the client cannot sell the rights to the music to a third-party company.If commercial, these commercial rights cannot be transferred to anyone else. For example, I give one publisher the exclusive right to use a song for an album, but not allow them to sell those rights to another publisher.

FINAL DELIVERABLES
Project files and download links will remain available for 14 days after delivery. It is your responsibility to back up all deliverables. Retrieval requests after this window may incur a +50% file recovery fee, and files may not be guaranteed available.Upon completion of the project and full payment, you will receive the following materials in the agreed-upon format and delivery method:
CANCELLATION & REFUNDS
Once a commission has been finalized and delivered, revision requests will not be accepted unless covered under a separate update or maintenance agreement.
You may cancel your commission at any time prior to final delivery. If cancellation occurs after work has begun, a partial refund may be issued based on the amount of work completed. The non-refundable 50% deposit will be retained to cover time, labor, and administrative overhead.
I reserve the right to cancel a commission at any time due to violations of these Terms of Service, inappropriate conduct, communication breakdown, or personal emergencies. In such cases, a refund will be issued proportionate to the work not completed.Once the final product has been approved and delivered, all sales are final. No refunds, returns, or exchanges will be offered post-delivery.Clients are not permitted to initiate chargebacks through payment processors after approval of the final product. Doing so constitutes a breach of contract and may result in blacklisting from future work, as well as the forfeiture of licensing rights to the commissioned track.In the event of cancellation, all rights to the partially or fully completed work revert to me, unless otherwise agreed upon in writing.
INTELLECTUAL PROPERTY RIGHTS
This section applies to all agreements, regardless of whether the rights are non-exclusive or exclusive.
"Musical Composition": Refers to the underlying melody, harmony, and rhythm of the instrumental music created by the Creator.
"Sound Recording": Refers to the master recording of the Musical Composition.
"Work": Collectively refers to both the Musical Composition and the Sound Recording created under this agreement.
"Term": The duration of this agreement, as defined in either Part 2 (Non-Exclusive) or Part 3 (Exclusive).
The Creator agrees to create and deliver a custom instrumental track to the Commissioner according to the specifications outlined in Project Details.The Creator warrants that the Work is original and does not infringe upon any copyright or intellectual property rights of any third party.
The Creator will deliver the Work to the Commissioner by the date specified in Project Details.
The Commissioner will have [Number of agreed upon] business days to review and accept or request revisions to the Work.
The Commissioner agrees to pay the Creator a total fee of $[Amount agreed upon], payable according to the schedule in Project Details.This payment covers the Creator's services and, where applicable, the grant of rights detailed in this agreement.
Unless otherwise specified, the Creator will be credited for the Work. The Commissioner agrees to use the following credit line: "Music by: Eeelize (with provided link beneath or embedded within the name)".The size and placement of the credit will be comparable to that of other contributors.
Part 2: Non-Exclusive Rights Agreement
This section applies if the Commissioner is licensing the Work on a non-exclusive basis.
6. Grant of Rights (Non-Exclusive)
The Creator grants the Commissioner a non-exclusive, perpetual, worldwide license to use the Work for the purposes specified in Scope of Usage.
This means the Creator retains full ownership of the Musical Composition and Sound Recording and can continue to license the Work to other parties.
The Commissioner cannot grant sub-licenses to the Work.The Creator grants the Commissioner a non-exclusive, perpetual, worldwide license to use the Work for the purposes specified in Scope of Usage.

The Creator retains all rights to the Work not explicitly granted to the Commissioner under this agreement, including the right to:
License the Work to other clients.
Use the Work in the Creator's portfolio.
Publicly perform the Work (subject to standard Performing Rights Organization (PRO) collection).
7. Royalties (Non-Exclusive)
The Creator is entitled to royalties generated by the Work from public performances, mechanical reproductions, and synchronization licenses.
The Commissioner is responsible for the payment of all performance royalties through a Performing Rights Organization (PRO) like ASCAP or BMI, if applicable.
The Commissioner will not owe the Creator any additional royalties beyond the initial commission fee for uses within the granted scope.
8. Royalties (Non-Exclusive)
The Commissioner agrees not to register the Work with any PRO, music publisher, or copyright office.
The Commissioner may not claim authorship or ownership of the Work.
Part 3: Exclusive Rights Agreement
This section applies if the Commissioner is acquiring exclusive rights to the Work.
9. Grant of Rights (Exclusive)
The Creator grants the Commissioner a non-exclusive, perpetual, worldwide license to use the Work for the purposes specified in Scope of Usage.
This means the Creator retains full ownership of the Musical Composition and Sound Recording and can continue to license the Work to other parties.
The Commissioner cannot grant sublicenses to the Work.
10. Work for Hire
The Work is considered a "Work Made for Hire" as defined by U.S. copyright law.
If, for any reason, the Work is determined not to be a Work Made for Hire, the Creator agrees that this agreement serves as an irrevocable assignment of all copyrights and proprietary rights in the Work to the Commissioner.
11. Royalties (Exclusive)
The Creator is not entitled to any royalties or future payments derived from the Work, including but not limited to mechanical, performance, or synchronization royalties.
12. Exclusivity
The Creator shall not use, license, or sell the Work, or any part thereof, to any third party at any time.
Amendments
These Terms of Service are subject to change without prior notice. Any updates will not apply retroactively to commissions initiated before the revision date.
Jurisdiction
These terms are governed by the laws of California. In the event of a dispute, both parties agree to attempt resolution through mutual discussion before pursuing legal action.By commissioning me, you agree to all terms listed above.
